  • Prepare transaction strategy and checklist;
  • Negotiate in good faith the final terms and resolutions of complex issues raised during due diligence;
  • Draft and negotiate sale agreement (entity or asset) and all agreements critical to the purchase;
  • Prepare necessary corporate agreements and organizational documents;
  • Research and collaborate with tax expert if necessary regarding tax consequences of the sale;
  • Negotiate as needed following the purchaser’s due diligence and any change in terms (Seller transaction); and
  • Review and negotiate any changes to sale agreements and related documents to timely finalize and close the sale (Seller transaction).

Edward Engel has participated in a multitude of merger and acquisition transactions representing businesses from large restaurant and casino operations to the wholesale and retail businesses.  Mr. Engel led all domestic and international franchise operations for both Rainforest Café and Romano’s Macaroni Grill, successfully negotiating and managing franchise agreements throughout the Middle East including Egypt, United Arab Emirates, Qatar, Bahrain and Turkey.

Ed Rothberg is Board Certified in Business Bankruptcy by the Texas Board of Legal Specialization.  As a result, his merger and acquisition practice focuses on distressed companies.  Mr. Rothberg has participated in dozens of Bankruptcy Code Section 363 sales where distressed assets were sold free and clear liens. He has also participated in distressed acquisitions and mergers through the confirmation of Chapter 11 plans. Mr. Rothberg focuses on the business and tax aspects of these transactions while utilizing our other M&A professionals to document the deals.

Curt McCreight works in transactional and business matters ranging from real estate transactions, tax matters, asset and entity sales and re-financing, and merger and acquisition of non-public entities. Curt has experience with negotiating, advising, documenting and due diligence related to the purchase, sale, refinance, and merger of closely held entities and mutli-family real estate projects. Curt has also assisted troubled entities and lenders with bankruptcy 363 issues, DIP financing and work out matters.

Melissa Haselden has been practicing for more than 20 years, with a primary focus in commercial bankruptcy/insolvency representations, including the restructuring of debt for distressed companies, both in and outside of bankruptcy, and representing asset purchasers in various industries. Ms. Haselden has participated in numerous 363 sales of assets, as well as distressed acquisitions and mergers in connection with Chapter 11 plan confirmation.
